Volunteer Agreement

In consideration for the willingness of Adventure Bags Inc., a Georgia nonprofit corporation (“Adventure Bags”) to accept the individual signing below (“Volunteer”) as a volunteer, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Volunteer, intending to bind Volunteer and Volunteer’s heirs, administrators, executors, successors and assigns, does freely, voluntarily, and without duress agree as follows:

1. VOLUNTEER ROLE: Volunteer acknowledges and agrees that Volunteer is providing services to and engaging in activities with Adventure Bags on a voluntary, unpaid basis (“Volunteer Work”). Volunteer will perform Volunteer Work on an intermittent schedule determined by mutual agreement of Adventure Bags and Volunteer. Volunteer shall only participate in the Volunteer Work authorized by Adventure Bags, as directed by a shift supervisor or other authorized representative of Adventure Bags. Volunteer agrees that Volunteer is not an employee or agent of Adventure Bags and is not entitled to any payments, compensation or other benefits (including health or similar benefits) from Adventure Bags.
2. POLICIES AND PROCEDURES: The Volunteer Work is conditioned upon Volunteer’s agreement to comply with Adventure Bag’s Volunteer Policies and Procedures (“Volunteer Handbook”), a copy of which has been provided to Volunteer. Volunteer has reviewed the Volunteer Handbook and agrees to comply with the policies, procedures and rules set forth therein.
3. PRIOR CONDUCT: Volunteer hereby acknowledges and represents that Volunteer has never been convicted of, or charged with, a violent crime, or any crimes involving children, such as child abuse or neglect, child pornography, child abduction or kidnapping, and that Volunteer has never been ordered by a court to receive psychiatric or psychological treatment in connection with any such conduct.
4. PHOTOGRAPHS AND OTHER MEDIA RELEASE: Volunteer agrees to be photographed or recorded in other media, such as video or audio recordings, in connection with Volunteer Work or other activities or events of Adventure Bags. Volunteer understands and agrees that the photographs and/or other media recordings may be used to promote Adventure Bags and/or its services and events. Volunteer hereby irrevocably grants and conveys unto Adventure Bags all right, title, and interest in any and all photographic images and other media recordings taken of Volunteer during Volunteer Work or other activities and events of Adventure Bags, including, but not limited to, any royalties, proceeds, or other benefits derived from such photographs or other media recordings. Volunteer understands and agrees that Volunteer is waiving all rights to privacy and ownership regarding the use of such photographs and other media recordings.
5. POSTING MEDIA: Volunteer understands that the Volunteer Work may involve individuals under the age of 18. Volunteer agrees not to take photos or video or audio recordings of any such individuals without prior permission from Adventure Bags and the individual’s parent or guardian and, if such permission is granted, Volunteer further agrees not to post or retain personal copies (including electronic copies) of any photographic images or video or audio recordings of individuals under the age of 18 taken by Volunteer in the course of Volunteer’s participation in the Volunteer Work.
6. MATERIAL CREATED FOR ADVENTURE BAGS: Volunteer may be asked to perform various projects for Adventure Bags and produce reports on the results of such projects (collectively, “Work Products”) from time to time. To the fullest extent permitted by law, all Work Products shall be the property of Adventure Bags and shall be deemed to be a “work made for hire” (as defined in Section 101 of Title 17 of the United States Code). All Work Products shall be promptly communicated to Adventure Bags. To the extent any Work Products are not deemed to be a “work made for hire”, Volunteer hereby irrevocably assigns and agrees to assign to Adventure Bags all of Volunteer’s rights, title, and interest in and to all Work Products, and to any and all intellectual property rights relating to any Work Products, effective immediately upon its conception or creation. Without limiting the foregoing, Volunteer hereby waives any and all claims of “moral rights” and other rights of any kind or nature related to the material produced by or on behalf of Volunteer and hereby conveys to Adventure Bags, without reservation or limitation, any such rights as they may exist. At all times Adventure Bags shall have unencumbered title to such materials.
7. ASSUMPTION OF RISK: Volunteer understands that the Volunteer Work may involve work that may be hazardous to the Volunteer and Volunteer understands that there is a possibility of accidental or other physical injury or death to Volunteer or of loss or damage to Volunteer’s property. VOLUNTEER HEREBY EXPRESSLY AND SPECIFICALLY ASSUMES THE RISK of damage, injury, harm, or death in connection with such Volunteer Work. In addition to any other risks posed by participating or volunteering with Adventure Bags, Volunteer understands that, despite any safety precautions being taken by Adventure Bags, by participating or volunteering with Adventure Bags, there is a risk of potential exposure to COVID-19 or any other harmful virus or bacteria, which may result in illness or death
8. MEDICAL TREATMENT: Volunteer hereby grants permission for first aid and/or C.P.R. to be given to Volunteer in an emergency, as determined in the sole discretion of any employee, staff member, or agent of Adventure Bags. Volunteer further agrees that (a) Volunteer will be solely responsible for any medical costs or expenses or any loss, liability, or damage which may arise as a result thereof, (b) Adventure Bags (including its employees, staff members, and agents) may act on Volunteer’s behalf in securing medical treatment for Volunteer in the event of injury or illness to Volunteer, and (c) Adventure Bags may act on Volunteer’s behalf in accepting financial responsibility for any such first aid and/or other medical treatment secured for Volunteer (which responsibility shall be borne solely by Volunteer).
9. WAIVER AND RELEASE: Volunteer, for and on behalf of Volunteer and Volunteer’s heirs, successors, beneficiaries and assigns, covenants not to sue and DOES HEREBY RELEASE, FOREVER DISCHARGE, AND AGREE TO HOLD HARMLESS AND FULLY INDEMNIFY Adventure Bags and any person who is the recipient of Volunteer Work, and their respective affiliates, officers, directors, staff, employees, agents, volunteers, sponsors, heirs, administrators, successors and assigns (the “Released Parties”), from any and all liability, claims, demands, damages, expenses, and causes of action of whatever kind or nature, either in law or in equity arising out of or relating to (i) Volunteer’s performance or non-performance of Volunteer Work, (ii) breach of any of Volunteer’s warranties and representations set forth in this Agreement, (iii) Volunteer’s involvement in Adventure Bags’ projects, including but not limited to Volunteer Work, and (iv) first aid or medical treatment provided to Volunteer in connection with Volunteer Work. Without limiting the generality of the foregoing, Volunteer understands and acknowledges that the foregoing covenant not to sue, release, discharge, and agreement to hold harmless and fully indemnify discharges the Released Parties from any liability or claim that Volunteer may have against a Released Party for bodily injury or property damage, regardless of whether such injury or damage is caused in part by the act or omission of a Released Party. Notwithstanding the foregoing, nothing in this Agreement shall be interpreted as requiring Volunteer to indemnify, defend, or hold harmless a Released Party from any liability, claims, demands, or causes of action caused solely by that Released Party’s gross negligence or willful misconduct. Volunteer agrees that the release, discharge, and agreement to hold harmless and fully indemnify set forth in this Agreement are intended to be as broad and inclusive as permitted by law.
10.  MISCELLANEOUS: Volunteer expressly agrees that this Agreement is intended to be as broad and inclusive as permitted by the laws of the State of Georgia, and that this Agreement will be governed by and interpreted in accordance with the laws of the State of Georgia without giving effect to its conflict of laws rules. Volunteer agrees that the sole and exclusive jurisdiction and venue for litigation between Volunteer and Adventure Bags will be a state or federal court having jurisdiction over Barrow County, Georgia. If any clause or provision of this Agreement shall be held to be invalid by any court, the invalidity of such clause or provision shall not otherwise affect the remaining clauses or provisions of this Agreement, which shall continue to be enforceable. No amendments hereto (except those made by a court of competent jurisdiction pursuant to the terms of this Agreement) are valid unless made in writing and signed by Volunteer and a duly authorized officer of Adventure Bags. Volunteer acknowledges and agrees that Volunteer has had an opportunity to read this Agreement in full and to ask any questions regarding its contents.
11. EFFECTIVE DATE: This Agreement is effective as of 3/15/2023.

I HAVE READ AND FULLY UNDERSTAND THE TERMS AND CONDITIONS OF THIS VOLUNTEER AGREEMENT. By submitting the information below, I am agreeing to the terms and conditions above.

I, the Volunteer, agree that the signature will be the electronic representation of my signature for all purposes just the same as a pen-and-paper signature. I also agree that my IP address and date will be automatically set within this form.
